These Terms and Conditions (“Terms”) govern your access to and use of the Raise Money platform (“Platform”), operated by Payomatix Technologies Pvt Ltd (“Raise Money,” “we,” “us,” or “our”). By accessing and using the Platform, you agree to be bound by these Terms. If you do not agree with any provision of these Terms, please do not use our services.

1. Eligibility and Account Registration

1.1 Eligibility: To use the Platform, you must be at least 18 years old and capable of entering into a legally binding agreement. By accessing and using the Platform, you represent and warrant that you meet these eligibility requirements.

1.2 Account Registration: You may need to create an account to access certain features of the Platform. When registering an account, you must provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2. Platform Usage and Conduct

2.1 Limited License: Subject to your compliance with these Terms, Raise Money grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for its intended purpose.

2.2 Prohibited Activities: You agree not to:

a. Use the Platform for any illegal, unauthorized, or fraudulent purposes.

b. Violate any applicable laws, regulations, or third-party rights.

c. Use the Platform to transmit any harmful or malicious code, viruses, or similar harmful materials.

d. Interfere with the operation of the Platform or disrupt its functionality.

e. Collect or harvest any information from the Platform without authorization.

f. Engage in any activity that may impose an unreasonable burden on our infrastructure.

2.3 User-Generated Content: The Platform may allow users to post, upload, or share content, including campaign descriptions, videos, images, and comments (“User-Generated Content”). You retain ownership of your User-Generated Content, but by submitting it, you grant Raise Money a worldwide, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, distribute, modify, and display your User-Generated Content in connection with the Platform.

2.4 Campaigns and Investments: Raise Money facilitates fundraising campaigns between founders and investors. We do not endorse or guarantee the success of any campaign, the accuracy of campaign information, or the legitimacy of any project or investment opportunity. You are solely responsible for conducting due diligence and assessing the risks associated with participating in or investing in any campaign.

3. Intellectual Property

3.1 Platform Content: All intellectual property rights in the Platform, including but not limited to text, graphics, logos, trademarks, and software, are owned by or licensed to Raise Money. You may not use, copy, reproduce, modify, distribute, or create derivative works of any Platform content without our prior written consent.

3.2 User-Generated Content: You represent and warrant that you own or have the necessary rights and permissions to post User-Generated Content on the Platform. By posting User-Generated Content, you grant Raise Money the rights described in Section 2.3.

5. Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied. Raise Money does not guarantee the accuracy, completeness, or reliability of any information on the Platform or the outcome of any campaign or investment. You use the Platform at your own risk.

6. Limitation of Liability

To the maximum extent permitted by law, Raise Money and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Platform or these Terms, even if advised of the possibility of such damages.

7. Indemnification

You agree to indemnify, defend, and hold harmless Raise Money and its affiliates, directors, employees, and agents from any claims, losses, damages, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Platform, violation of these Terms, or violation of any applicable laws or regulations.

8. Termination

Raise Money may, in its sole discretion, suspend, restrict, or terminate your access to the Platform at any time and for any reason without notice or liability.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Noida, India.

10. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

11. Entire Agreement

These Terms constitute the entire agreement between you and Raise Money regarding the use of the Platform and supersede any prior agreements or understandings.
